Audit Engagement Letter Sample (US)

Parties Involved:

Auditor: XYZ Certified Public Accountants
Address: 123 Audit Lane, New York, NY 10001

Client: ABC Corporation
Address: 456 Business Park, New York, NY 10002

Scope of Services:

The auditor agrees to perform an independent financial statement audit of the client’s financial statements for the fiscal year ending December 31, 2023, in accordance with Generally Accepted Auditing Standards (GAAS) in the United States.

Standards:

The audit will be conducted in accordance with GAAS, applicable federal and state regulations, and the standards of the Public Company Accounting Oversight Board (PCAOB) if applicable.

Responsibilities of the Auditor:

The auditor shall perform the audit with due professional care, obtain sufficient appropriate audit evidence, and issue an opinion on the financial statements based on the audit findings. The client agrees to provide full access to all relevant documents and personnel.

Responsibilities of the Client:

The client shall provide accurate and complete financial records, cooperate with the auditor, and disclose all relevant information necessary for the conduct of the audit.

Fees:

The total fee for the audit will be $25,000, payable upon completion of the audit and delivery of the report. Additional services beyond the scope of this engagement will be billed separately.

This engagement shall commence on January 15, 2023, and conclude upon delivery of the audit report by March 31, 2023. Either party may terminate this agreement with written notice with valid cause.

Governing Law:

This agreement shall be governed by the laws of the State of New York. Disputes will be resolved within the jurisdiction of New York courts.

Additional Provisions:

  • The client agrees to provide timely access to all financial records and relevant information.
  • Any modifications to this engagement letter must be made in writing and signed by both parties.
  • The auditor’s report will express an opinion based on the audit findings, which may include a disclaimer or qualified opinion if necessary.
